Terms of Service Agreement

Important: Vertex Trize provides risk assessment tools and informational services only. We do not provide financial advice, investment recommendations, or portfolio management services. All investment decisions are your sole responsibility.

2.1 Account Management

• You must provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your account credentials
• Immediately notify us of any unauthorized account access or security breach
• You are responsible for all activities occurring under your account
• You must be at least 18 years old to use our Services

2.2 Acceptable Use

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or other user accounts
• Use automated tools (bots, scrapers) without express written permission
• Reverse engineer, decompile, or disassemble our software
• Share your API keys or account access with unauthorized parties
• Use the Services for illegal activities, money laundering, or fraud
• Transmit viruses, malware, or harmful code through our platform

2.3 Portfolio Data Accuracy

You are responsible for ensuring the accuracy of portfolio data you provide. Our risk assessments are only as accurate as the input data. We are not liable for incorrect risk analyses resulting from inaccurate or incomplete portfolio information.

3.1 Vertex Trize Proprietary Technology

All content, features, and functionality of our Services are owned by Vertex Trize and protected by international copyright, trademark, and other intellectual property laws. This includes:

• AI algorithms and risk prediction models
• Software code, architecture, and databases
• User interface designs and visual elements
• Documentation, tutorials, and educational content
• Trademarks, logos, and brand identity

3.2 Your Usage Rights

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal or internal business purposes in accordance with these Terms. You may NOT:

• Reproduce, distribute, or publicly display our content without permission
• Create derivative works based on our technology or algorithms
• Use our Services to develop competing products or services
• Remove or alter proprietary notices or labels

4.1 Voluntary Termination

You may terminate your account at any time through Settings > Account > Delete Account. Upon termination, we will delete your personal data within 30 days as outlined in our Privacy Policy. Prepaid subscription fees are non-refundable unless required by applicable law.

4.2 Involuntary Suspension

We reserve the right to suspend or terminate your account immediately without notice if:

• You violate these Terms or applicable laws
• Your account is used for fraudulent or illegal activities
• You engage in conduct that harms other users or our platform
• Payment obligations are not met after multiple notices
• Required by law enforcement or regulatory authorities

Step 1: Direct Resolution

Before pursuing legal action, contact us at legal@vertexflex.com to attempt informal resolution. We commit to responding within 5 business days and working in good faith to resolve disputes.

Step 2: Mediation

If direct resolution fails, both parties agree to participate in mediation through a mutually agreed mediator before initiating arbitration or litigation. Mediation costs are shared equally.

Step 3: Arbitration

Disputes not resolved through mediation shall be settled by binding arbitration under the rules of the Singapore International Arbitration Centre (SIAC). Arbitration will be conducted in English in Singapore. Each party bears their own arbitration costs.
